These Terms of Service apply to the website, mobile experience, booking pages, forms, communications, events, sessions, programs, scorecards, media, and related services operated by LIVE ABTM by or through [Legal Entity Name], a [State] [Entity Type] with a principal place of business at [Address].

By accessing or using LIVE AB, creating an account, registering a participant, booking a session, submitting information, purchasing a session, attending a session, or allowing your child to participate, you agree to these Terms.

If you do not agree, do not use LIVE AB or participate in LIVE AB sessions.

1. What LIVE AB Is

LIVE AB is an organized live-reps platform for baseball and softball players. LIVE AB helps coordinate structured live at-bat sessions and related player-development experiences involving hitters, pitchers, catchers, facilities, operators, and approved partners.

LIVE AB may provide access to:

  • Session registration and booking;
  • Athlete intake and availability forms;
  • Facility-backed live-rep sessions;
  • Session reminders and communications;
  • Scorecards, session history, leaderboards, highlights, and media options;
  • Referrals, credits, packages, and promotions;
  • Facility partner programs, operator programs, and other related services.

LIVE AB is not a school, league, medical provider, recruiting service, college placement service, agency, or professional representation service. LIVE AB does not guarantee athletic improvement, roster selection, recruiting exposure, scholarships, college opportunities, professional opportunities, or any specific performance result.

2. Eligibility

You may use LIVE AB only if you can legally enter into a binding agreement.

If a participant is under 18 years old, a parent or legal guardian must register, consent, pay, complete waivers, and approve participation.

Children under 13 may not create their own LIVE AB account or submit personal information directly. A parent or guardian must provide all required registration information and consent.

LIVE AB may refuse, suspend, or cancel participation if we believe a user or participant is ineligible, unsafe, untruthful, disruptive, or otherwise not a good fit for the session.

3. Parent and Guardian Responsibility

If you register a minor participant, you represent that:

  • You are the participant’s parent or legal guardian;
  • You have legal authority to consent to the participant’s involvement;
  • All registration, medical, age, skill, availability, and contact information you provide is accurate;
  • You will review all session rules, safety requirements, waiver terms, and communications;
  • You will ensure the participant arrives prepared, properly equipped, and physically able to participate;
  • You will not use LIVE AB as a substitute for medical, athletic training, pitching workload, or injury advice from qualified professionals.

Parents and guardians are responsible for determining whether participation is appropriate for their child.

4. Accounts, Forms, and Information Accuracy

You agree to provide accurate, current, and complete information. This may include:

  • Parent or guardian name;
  • Email address;
  • Phone number;
  • Participant name;
  • Participant age, grade, team, school, role, skill level, handedness, and availability;
  • Emergency contact information;
  • Medical flags or participation limitations;
  • Recent pitching workload or arm-health information;
  • Waiver and consent responses;
  • Payment information.

You may not impersonate another person, register someone without authority, submit false information, manipulate age or skill level, or use LIVE AB in a way that compromises safety or fair matching.

LIVE AB may rely on the information you submit when matching participants, assigning roles, approving sessions, and making safety decisions.

5. Bookings, Session Structure, and Availability

LIVE AB sessions are subject to availability, facility access, operator availability, role balance, age and skill matching, payment completion, waiver completion, and safety approval.

A booking is not guaranteed until LIVE AB confirms it.

LIVE AB may adjust, combine, reschedule, cancel, or decline sessions based on:

  • Insufficient role balance;
  • Missing pitcher, catcher, hitter, operator, or facility availability;
  • Weather, facility closure, equipment issues, or safety concerns;
  • Age, skill, or workload mismatch;
  • Incomplete waiver, consent, or payment;
  • Participant misconduct or parent/guardian misconduct;
  • Any other reason LIVE AB determines is necessary.

LIVE AB may assign participants to sessions based on age band, role, skill level, availability, facility, safety, and operational fit.

6. Payments, Pricing, Packages, and Credits

All prices are displayed at checkout or communicated before payment. Prices may vary based on session type, facility, role, promotion, package, membership, referral credit, discount code, or market.

Payments may be processed through third-party payment processors such as Stripe or other providers. LIVE AB does not control all payment processor terms, fees, or policies.

By submitting payment information, you authorize LIVE AB and its payment processors to charge the applicable amount.

LIVE AB may offer:

  • Single-session purchases;
  • Packages;
  • Credits;
  • Referral rewards;
  • Discount codes;
  • Promotional pricing;
  • Memberships;
  • Facility-specific offers;
  • Operator-specific offers.

Credits and promotional offers have no cash value unless LIVE AB states otherwise in writing. LIVE AB may modify or discontinue promotions at any time.

7. Cancellation, Refund, and Rescheduling Policy

Because LIVE AB sessions depend on limited facility time, role matching, and participant coordination, cancellations create real operational costs.

Unless otherwise stated at checkout:

  • Cancellations made more than [24/48] hours before a session may be eligible for a credit or reschedule;
  • Cancellations made within [24/48] hours of a session may be non-refundable;
  • No-shows are non-refundable;
  • Late arrivals may lose participation time and are not guaranteed additional reps;
  • Missing required gear may result in removal without refund;
  • Failure to complete waivers or safety forms may result in cancellation without refund;
  • LIVE AB may issue credits instead of cash refunds.

If LIVE AB cancels a session for operational, facility, or safety reasons, LIVE AB may offer a reschedule, account credit, or refund, at its discretion.

LIVE AB is not responsible for travel costs, lodging costs, missed activities, schedule conflicts, or other indirect losses related to cancellations or changes.

8. Referral Programs and Free Sessions

LIVE AB may offer referral incentives, including credits, discounted sessions, or free participation when a participant creates or fills a session.

Referral rewards are subject to LIVE AB approval and may require:

  • A minimum number of paid participants;
  • Completed waivers;
  • Completed payment;
  • Actual attendance;
  • Session completion;
  • No cancellations, chargebacks, or abuse.

LIVE AB may deny, reverse, limit, or modify referral rewards if it believes the program is being misused, manipulated, or used in a way that harms session quality or platform integrity.

9. Safety Rules and Participation Requirements

Baseball and softball involve inherent risks, including but not limited to being hit by a ball or bat, collisions, falls, muscle strains, throwing injuries, arm injuries, head injuries, eye injuries, dental injuries, heat illness, and other serious injuries.

All participants must follow LIVE AB rules, facility rules, operator instructions, and safety standards.

Participants may be required to:

  • Wear appropriate protective gear;
  • Use helmets when hitting or in designated areas;
  • Use catcher’s gear when catching;
  • Warm up properly;
  • Report pain, injury, fatigue, dizziness, or discomfort;
  • Follow role-specific instructions;
  • Stay in designated areas;
  • Avoid horseplay;
  • Respect other players, operators, parents, and facility staff.

LIVE AB may remove any participant from a session if LIVE AB believes participation is unsafe, disruptive, inappropriate, or inconsistent with the session format.

10. Pitching Workload, Arm Health, and Medical Disclaimer

LIVE AB does not provide medical advice, sports medicine advice, physical therapy, pitching workload management, or injury diagnosis.

Pitchers and parents/guardians are responsible for tracking total pitching workload across all teams, games, practices, lessons, bullpens, showcases, and LIVE AB sessions.

You agree not to allow a participant to pitch or throw if the participant is injured, fatigued, under medical restriction, experiencing arm pain, or otherwise not physically ready.

LIVE AB may ask about recent pitch counts, innings, throwing volume, arm status, and rest. LIVE AB may deny or limit pitching participation based on submitted information or safety concerns.

LIVE AB may use general workload guidelines, including Pitch Smart-style principles, but those guidelines do not replace individualized medical or coaching advice.

11. Assumption of Risk

By participating in LIVE AB, you understand and voluntarily accept the risks associated with baseball, softball, athletic training, live pitching, live hitting, catching, throwing, facility activities, and related movement.

These risks may arise from:

  • The actions or inactions of participants;
  • Balls, bats, equipment, surfaces, cages, nets, mounds, lighting, or facility conditions;
  • Mismatched skill level;
  • Physical exertion;
  • Operator or facility decisions;
  • Unknown medical conditions;
  • Ordinary negligence;
  • Other foreseeable and unforeseeable circumstances.

You accept these risks for yourself and, if applicable, on behalf of your minor child.

12. Separate Waiver and Release Required

Participation in LIVE AB sessions may require a separate waiver, release of liability, medical authorization, emergency contact form, and media consent.

If there is a conflict between these Terms and a signed session waiver, the waiver will control for participation-related injury, release, assumption of risk, medical authorization, and media consent matters.

LIVE AB may refuse participation if required waivers are incomplete.

13. Facilities, Operators, Coaches, and Third Parties

LIVE AB may work with independent facilities, operators, coaches, instructors, contractors, vendors, software providers, payment processors, media providers, and other third parties.

Facilities and operators may have their own rules, waivers, safety procedures, and eligibility requirements.

You agree to follow all applicable facility rules and third-party requirements.

LIVE AB is not responsible for third-party actions, third-party websites, independent facility policies, or services not controlled by LIVE AB, except to the extent required by applicable law.

14. Supervision and Minor Safety

LIVE AB is committed to a safe youth sports environment.

LIVE AB may require operators, staff, contractors, or recurring adult participants to follow conduct standards, including limits on inappropriate one-on-one adult/minor interactions, communication boundaries, and misconduct reporting expectations.

Parents and guardians are responsible for remaining available and reachable during sessions.

LIVE AB may communicate with minors only in ways reasonably necessary for session operations and consistent with parent/guardian consent.

Participants, parents, operators, and facilities must report safety concerns, misconduct, suspected abuse, harassment, bullying, or inappropriate conduct to LIVE AB immediately at [Safety Email].

In emergencies, call 911 first.

15. Code of Conduct

You agree that you and any participant you register will not:

  • Harass, threaten, abuse, bully, intimidate, or discriminate against others;
  • Use obscene, violent, sexual, hateful, or unsafe language or conduct;
  • Interfere with a session;
  • Ignore operator, facility, or safety instructions;
  • Bring weapons, drugs, alcohol, or prohibited items;
  • Participate while impaired;
  • Damage facility property or equipment;
  • Record or photograph others in restricted areas;
  • Contact minors improperly;
  • Attempt to circumvent LIVE AB booking, payment, or safety systems;
  • Recruit, poach, or solicit participants in a way that disrupts LIVE AB sessions or partner relationships;
  • Use LIVE AB data, rosters, or communications for unauthorized commercial purposes.

LIVE AB may remove, suspend, or permanently ban users or participants who violate this Code of Conduct.

16. No Circumvention

LIVE AB invests in organizing sessions, matching participants, coordinating facilities, managing communications, handling payments, collecting waivers, and building the LIVE AB experience.

You agree not to use LIVE AB to identify participants, facilities, operators, coaches, or session opportunities and then avoid LIVE AB’s booking, payment, waiver, or platform systems.

This includes attempting to move a LIVE AB session, participant group, facility booking, or operator relationship outside LIVE AB to avoid fees or platform rules.

LIVE AB may suspend or terminate access for circumvention.

17. Media, Photos, Video, Scorecards, and Player Visibility

LIVE AB may offer or create media, including photos, videos, clips, scorecards, leaderboards, session history, highlights, social posts, promotional content, and player visibility features.

LIVE AB will seek required parent/guardian consent before using a minor participant’s identifiable image, name, likeness, performance data, or media for public promotional purposes.

If you consent to media use, you grant LIVE AB permission to capture, edit, publish, display, distribute, and use approved media in connection with LIVE AB operations, promotion, social media, websites, advertising, training, and platform features.

You may withdraw future media consent by contacting [Privacy/Safety Email], but withdrawal may not require LIVE AB to remove content already published, reposted, shared, printed, or otherwise used before withdrawal, unless required by law.

LIVE AB may restrict personal recording at sessions to protect minors, privacy, safety, facility rules, and platform integrity.

18. User Content

You may submit content to LIVE AB, including messages, forms, feedback, reviews, photos, videos, testimonials, and other materials.

You represent that you have the right to submit such content and that it does not violate anyone else’s rights.

You grant LIVE AB a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, display, distribute, and create derivative works from your submitted content for LIVE AB operations, marketing, improvement, safety, and business purposes, subject to applicable privacy laws and minor consent requirements.

LIVE AB may remove or refuse content at any time.

19. Platform Communications

You agree that LIVE AB may contact you by email, SMS, phone, app notification, or other methods for:

  • Registration;
  • Booking;
  • Payment;
  • Waivers;
  • Session reminders;
  • Schedule changes;
  • Safety alerts;
  • Facility updates;
  • Feedback;
  • Promotions;
  • Account issues.

Message and data rates may apply. You may opt out of promotional messages, but operational and safety messages may still be necessary for participation.

20. Intellectual Property

LIVE AB, LIVE ABTM, related names, logos, designs, session formats, scorecards, systems, workflows, content, software, pages, copy, graphics, videos, media, and other materials are owned by LIVE AB or its licensors.

You may not copy, reproduce, modify, distribute, sell, license, reverse engineer, scrape, or exploit LIVE AB materials without written permission.

No rights are granted except the limited right to use LIVE AB for personal, non-commercial participation in accordance with these Terms.

21. Acceptable Use

You may not:

  • Use LIVE AB for unlawful purposes;
  • Access systems without permission;
  • Scrape, harvest, or export data;
  • Interfere with platform operations;
  • Upload malware or harmful code;
  • Misrepresent identity or affiliation;
  • Use LIVE AB to compete unfairly, copy the platform, or build a confusingly similar service using LIVE AB confidential or proprietary information;
  • Violate privacy, publicity, intellectual property, or safety rights.

LIVE AB may investigate suspected violations and cooperate with law enforcement, regulators, facilities, insurers, or safety authorities where appropriate.

22. No Professional Advice

LIVE AB content may include general baseball, softball, training, safety, or development information.

This content is for informational purposes only. It is not medical advice, athletic training advice, legal advice, recruiting advice, or professional evaluation.

Always consult qualified professionals for medical, injury, training, or workload decisions.

23. Disclaimers

LIVE AB is provided on an “as is” and “as available” basis.

LIVE AB does not guarantee:

  • Session availability;
  • Role availability;
  • Facility availability;
  • Skill match perfection;
  • Specific number of reps;
  • Specific pitching quality;
  • Specific catcher availability;
  • Player development outcomes;
  • Recruiting attention;
  • Scholarships;
  • Injury prevention;
  • Error-free technology;
  • Uninterrupted service.

To the fullest extent allowed by law, LIVE AB disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

24. Limitation of Liability

To the fullest extent allowed by law, LIVE AB and its owners, officers, employees, contractors, operators, affiliates, partners, vendors, and representatives will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, lost opportunities, lost data, travel costs, or reputational harm.

To the fullest extent allowed by law, LIVE AB’s total liability for any claim will not exceed the greater of:

  • The amount you paid to LIVE AB for the session giving rise to the claim; or
  • $100.

Some jurisdictions do not allow certain limitations, so some limitations may not apply.

25. Indemnification

You agree to defend, indemnify, and hold harmless LIVE AB and its owners, officers, employees, contractors, operators, affiliates, partners, vendors, and representatives from and against claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

  • Your use of LIVE AB;
  • Your participation or your child’s participation;
  • Information you submit;
  • Your violation of these Terms;
  • Your violation of law;
  • Your misconduct or negligence;
  • Your violation of another person’s rights;
  • Your failure to follow safety rules, facility rules, or operator instructions.

For minor participants, the parent or legal guardian accepts this obligation on behalf of themselves and to the extent allowed by law.

26. Dispute Resolution, Arbitration, and Class Action Waiver

You and LIVE AB agree to first attempt to resolve disputes informally by contacting [Legal Email].

If a dispute cannot be resolved informally, disputes will be resolved by binding arbitration administered by [AAA/JAMS/Other] under its applicable rules, unless prohibited by law.

You and LIVE AB waive the right to a jury trial and agree to bring claims only on an individual basis, not as a plaintiff or class member in any class, collective, consolidated, or representative proceeding.

Either party may seek relief in small claims court if eligible.

Either party may seek injunctive or equitable relief for misuse of intellectual property, confidential information, safety issues, or unauthorized platform access.

27. Governing Law and Venue

These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-law principles.

Subject to the arbitration section above, courts located in [County], North Carolina will have exclusive jurisdiction for disputes that may be brought in court.

28. Changes to LIVE AB or These Terms

LIVE AB may update these Terms at any time.

If changes are material, LIVE AB may provide notice by posting the updated Terms, changing the “Last Updated” date, or sending notice.

Your continued use of LIVE AB after changes means you accept the updated Terms.

29. Termination

LIVE AB may suspend or terminate your access at any time if LIVE AB believes you violated these Terms, created safety concerns, provided false information, misused the platform, failed to pay, engaged in misconduct, or otherwise harmed LIVE AB, participants, facilities, or partners.

You may stop using LIVE AB at any time.

Sections intended to survive termination will survive, including payment obligations, intellectual property, assumption of risk, waivers, disclaimers, limitation of liability, indemnification, dispute resolution, and governing law.
